SharpFleet – Terms & Conditions

Introduction

These Terms & Conditions (“Terms”) govern your access to and use of SharpFleet, a software-as-a-service (SaaS) platform operated by SharpLync Pty Ltd (“SharpLync”, “we”, “us”, “our”).

By accessing or using SharpFleet, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. The SharpFleet Service

SharpFleet is a cloud-based fleet and driver logbook platform designed to assist businesses with record-keeping and reporting.

SharpFleet:

  • Records trip, vehicle, and usage information
  • Provides summaries and reports based on user-entered data
  • Does not provide real-time GPS tracking
  • Does not monitor, control, or enforce driver behaviour
  • Does not guarantee legal, tax, or regulatory compliance

Data recording & tracking clarification:

  • SharpFleet records information that users or companies choose to enter, such as trip times, odometer readings, vehicles, customers, and notes
  • SharpFleet may record timestamps, system events, and audit logs to support reporting, security, troubleshooting, and system integrity
  • SharpFleet does not automatically track vehicle location, movement, or driver behaviour
  • SharpFleet does not use GPS, telematics devices, or vehicle-installed hardware

SharpFleet is a record-keeping tool only.

2. Eligibility & Account Responsibility

You must:

  • Be legally capable of entering into a binding agreement
  • Ensure all users (admins, managers, drivers) are authorised
  • Keep account credentials secure

You are solely responsible for all activity performed under your account, including actions taken by employees, contractors, or drivers.

3. Legal Compliance & Driver Responsibility

You acknowledge and agree that:

  • You are responsible for ensuring SharpFleet is used in compliance with all applicable laws
  • This includes road rules, workplace safety obligations, and mobile phone usage laws
  • SharpFleet does not monitor or enforce lawful use

Mobile Phone Use While Driving

SharpFleet is designed for record-keeping and administrative purposes only and is not intended to be used while a vehicle is in motion.

In some countries, states, or jurisdictions, the use of a mobile phone while driving may be illegal or subject to restrictions. Drivers are solely responsible for understanding and complying with all applicable road rules, transport regulations, and local laws.

SharpFleet does not monitor vehicle movement in real time and does not determine when it is safe or lawful to use a mobile device. Responsibility for safe driving practices and legal compliance remains entirely with the driver and, where applicable, their employer or organisation.

SharpLync Pty Ltd accepts no responsibility or liability for any fines, penalties, incidents, accidents, or damages arising from the use of a mobile device while driving.

3A. No Surveillance or Employment Relationship

SharpFleet is not a surveillance, monitoring, or workforce management system. Use of SharpFleet does not create an employment, agency, or supervisory relationship between SharpLync and any driver.

Any monitoring, supervision, or enforcement of driver conduct is the sole responsibility of the business using the platform.

4. Acceptable Use

You must not:

  • Use SharpFleet for unlawful or unauthorised purposes
  • Submit false, misleading, or fraudulent data
  • Attempt to access other customers’ data
  • Interfere with or disrupt the platform or its security

SharpLync reserves the right to suspend or terminate access where misuse, abuse, or risk is identified.

4A. Private Vehicle Usage & Fair Use

SharpFleet may allow organisations to record trips made using personal or non-fleet vehicles (“Private Vehicle Trips”) where this feature is explicitly enabled by an administrator.

Private Vehicle Trips are provided to support occasional, operational exceptions, such as when subscribed fleet vehicles are temporarily unavailable.

Use of Private Vehicle Trips is subject to fair use and is not intended to replace, substitute, or materially reduce the number of fleet vehicles subscribed within SharpFleet.

SharpLync reserves the right to apply limits, restrictions, or review access where usage appears inconsistent with fair use or these Terms.

5. Data Ownership, Storage & Location

  • You retain ownership of all data entered into SharpFleet
  • You are responsible for the accuracy and completeness of that data
  • Reports are generated solely from information provided by users

All SharpFleet data is:

  • Stored and processed within Australia
  • Hosted using reputable Australian-based infrastructure providers

Any reports, summaries, or exports generated by SharpFleet are derived solely from user-entered data and system-recorded timestamps. SharpLync does not independently verify, validate, or audit the accuracy of recorded trips or usage.

Limited Use of Artificial Intelligence

SharpFleet uses artificial intelligence technology solely to assist with the initial population of vehicle details during vehicle setup (such as make, model, and basic specifications).

  • Operated using Australian-based infrastructure and services
  • Limited to vehicle setup and configuration only
  • Does not analyse trip data, driver behaviour, or usage patterns
  • Does not make decisions, recommendations, or automated actions
  • Not used for monitoring, profiling, or surveillance purposes

SharpFleet does not use artificial intelligence or machine learning systems beyond vehicle detail population as described above.

6. Privacy & Security

We take reasonable technical and organisational steps to protect your data. However, no online system can be guaranteed to be completely secure.

7. Billing, Payments & Subscriptions

SharpFleet is offered on a subscription basis.

By subscribing, you acknowledge that payments are non-refundable once a billing period has commenced.

8. Availability & Service Changes

We aim to provide reliable access to SharpFleet; however, availability is not guaranteed.

9. Limitation of Liability

Use of SharpFleet is entirely at your own risk.

10. Indemnity

You agree to indemnify and hold harmless SharpLync Pty Ltd from any claims arising from use of SharpFleet.

11. Intellectual Property

All SharpFleet software and branding remain the intellectual property of SharpLync Pty Ltd.

12. Suspension & Termination

SharpLync may suspend or terminate access where these Terms are breached.

13. Changes to These Terms

Continued use of SharpFleet constitutes acceptance of updated Terms.

14. Governing Law

These Terms are governed by the laws of Queensland, Australia.
